Common use of Issuance Administration Clause in Contracts

Issuance Administration. Each Letter of Credit shall be executed and delivered by the L/C Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Lender, and the L/C Agent shall act under each Letter of Credit and each Letter of Credit shall expressly provide that the L/C Agent shall act as the agent of each such Issuing Lender to (i) execute and deliver such Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Letter of Credit, (iv) notify such Issuing Lender and the Borrower that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent shall have no obligation or liability for any L/C Disbursement under such Letter of Credit (other than in its capacity as an Issuing Lender). Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Letter of Credit to be Issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Letter of Credit.

Each Syndicated Letter of Credit shall be executed and delivered by the L/C Administrative Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Tranche 1 Lender or Tranche 2 Lender, as the case may be, party to such Syndicated Letter of Credit, and the L/C Administrative Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Administrative Agent shall act act, as the agent of each such Issuing Lender to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender and the Borrower applicable Account Party that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Administrative Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit, and each Syndicated Letter of Credit (other than in its capacity as an Issuing Lender)shall expressly so provide. Each Issuing Lender hereby irrevocably appoints and designates the L/C Administrative Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d3.1(e). Promptly upon the request of the L/C Administrative Agent, each Issuing Lender will furnish to the L/C Administrative Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Administrative Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Each Issuing Lender Bank hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender Bank each Syndicated Letter of Credit to be Issued by such Issuing Lender Bank hereunder and to take such other actions contemplated by this Section 2.01(d2.5(a)(v). Promptly upon the request of the L/C Agent, each Issuing Lender Bank will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender Bank to execute and deliver such Syndicated Letter of Credit.

Promptly upon the request of the L/C AgentLC Administrator, each Issuing Lender LC Issuer will furnish to the L/C Agent LC Administrator such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent LC Administrator has the power to act as attorney-in-fact for such Issuing Lender LC Issuer to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing LenderBank, and the L/C Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Agent shall act act, as the agent of each such Issuing Lender Bank to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender Bank and the applicable Borrower that if a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit (other than in its capacity as an Issuing LenderBank), and each Syndicated Letter of Credit shall expressly so provide. Each Issuing Lender Bank hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender Bank each Syndicated Letter of Credit to be Issued by such Issuing Lender Bank hereunder and to take such other actions contemplated by this Section 2.01(d2.5(a)(v). The L/C Agent shall promptly furnish to the Issuing Banks copies of any Syndicated Letters of Credit Issued hereunder. Promptly upon the request of the L/C Agent, each Issuing Lender Bank will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender Bank to execute and deliver such Syndicated Letter of Credit.

Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d2.03(a)(v). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Each Issuing Lender hereby irrevocably appoints and designates the L/C Administrative Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(dSECTION 4.1(E). Promptly upon the request of the L/C Administrative Agent, each Issuing Lender will furnish to the L/C Administrative Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Administrative Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d3.1(e). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary Beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Promptly upon the request of the L/C AgentLC Administrator, each Issuing Lender LC Issuer will furnish to the L/C Agent LC Administrator such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent LC Administrator has the power to act as attorney-in-fact for such Issuing Lender LC Issuer to execute and deliver such Syndicated Letter of Credit.

Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d2.1(e). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Lender (other than a Non-NAIC Lender) party to such Syndicated Letter of Credit, and the L/C Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Agent shall act act, as the agent of each such Issuing Lender to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender and the applicable Borrower that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit, and each Syndicated Letter of Credit (other than in its capacity as an Issuing Lender)shall expressly so provide. Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d3.1(e). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Tranche 1 Lender or Tranche 2 Lender, as applicable, and the L/C Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Agent shall act act, as the agent of each such Issuing Lender to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender and the applicable Borrower that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit, and each Syndicated Letter of Credit (other than in its capacity as an Issuing Lender)shall expressly so provide. Each Issuing Lender hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d3.3(c). Promptly upon the request of the L/C Agent, each Issuing Lender will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Agent LC Administrator in the name and on behalf of, and as attorney-in-fact for, each Issuing LenderLC Issuer, and the L/C Agent LC Administrator shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Agent LC Administrator shall act act, as the agent of each such Issuing Lender LC Issuer to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender LC Issuer and the applicable Borrower that a valid drawing has been made and the date that the related L/C LC Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent LC Administrator shall have no obligation or liability for any L/C LC Disbursement under such Syndicated Letter of Credit (other than in its capacity as an Issuing Lendera LC Issuer), and each Syndicated Letter of Credit shall expressly so provide. Each Issuing Lender LC Issuer hereby irrevocably appoints and designates the L/C Agent LC Administrator as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender LC Issuer each Syndicated Letter of Credit to be Issued issued by such Issuing Lender LC Issuer hereunder and to take such other actions contemplated by this Section 2.01(dSECTION 3.02(d). Promptly upon the request of the L/C AgentLC Administrator, each Issuing Lender LC Issuer will furnish to the L/C Agent LC Administrator such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent LC Administrator has the power to act as attorney-attorney- in-fact for such Issuing Lender LC Issuer to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Administrative Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Tranche 1 Lender or Tranche 2 Lender (other than a Non-NAIC Lender), as the case may be, party to such Syndicated Letter of Credit, and the L/C Administrative Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Administrative Agent shall act act, as the agent of each such Issuing Lender to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender and the Borrower applicable Account Party that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Administrative Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit, and each Syndicated Letter of Credit (other than in its capacity as an Issuing Lender)shall expressly so provide. Each Issuing Lender hereby irrevocably appoints and designates the L/C Administrative Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender each Syndicated Letter of Credit to be Issued issued by such Issuing Lender hereunder and to take such other actions contemplated by this Section 2.01(d3.1(e). Promptly upon the request of the L/C Administrative Agent, each Issuing Lender will furnish to the L/C Administrative Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Administrative Agent has the power to act as attorney-in-fact for such Issuing Lender to execute and deliver such Syndicated Letter of Credit.

Issuance Administration. Each Syndicated Letter of Credit shall be executed and delivered by the L/C Agent in the name and on behalf of, and as attorney-in-fact for, each Issuing Lender56 Bank party to such Syndicated Letter of Credit, and the L/C Agent shall act under each Syndicated Letter of Credit Credit, and each Syndicated Letter of Credit shall expressly provide that the L/C Agent shall act act, as the agent of each such Issuing Lender Bank to (i) execute and deliver such Syndicated Letter of Credit, (ii) receive drafts, other demands for payment and other documents presented by the beneficiary under such Syndicated Letter of Credit, (iii) determine whether such drafts, demands and documents are in compliance with the terms and conditions of such Syndicated Letter of Credit, (iv) notify such Issuing Lender Bank and the applicable Borrower that a valid drawing has been made and the date that the related L/C Disbursement is to be made and (v) exercise all rights held by the issuer of a letter of credit under the documents for which such Syndicated Letter of Credit shall provide credit enhancement (or designate any Person as its representative for all such purposes under such documents); provided that the L/C Agent shall have no obligation or liability for any L/C Disbursement under such Syndicated Letter of Credit, and each Syndicated Letter of Credit (other than in its capacity as an Issuing Lender)shall expressly so provide. Each Issuing Lender Bank hereby irrevocably appoints and designates the L/C Agent as its attorney-in-fact, acting through any duly authorized officer, to execute and deliver in the name and on behalf of such Issuing Lender Bank each Syndicated Letter of Credit to be Issued by such Issuing Lender Bank hereunder and to take such other actions contemplated by this Section 2.01(d3.01(e). Promptly upon the request of the L/C Agent, each Issuing Lender Bank will furnish to the L/C Agent such additional powers of attorney or other evidence as any beneficiary of any Syndicated Letter of Credit may reasonably request in order to demonstrate that the L/C Agent has the power to act as attorney-in-fact for such Issuing Lender Bank to execute and deliver such Syndicated Letter of Credit.
