Common use of Issuance and Delivery of Warrant Certificates Clause in Contracts

Issuance and Delivery of Warrant Certificates. At any time and from time to time after the execution and delivery of this Agreement, the Company may deliver Warrant Certificates executed by the Company to the Warrant Agent for countersignature. Subject to the provisions of this Section 1.3, the Warrant Agent shall thereupon countersign and deliver such Warrant Certificates to or upon the written request of the Company. Subsequent to the original issuance of a Stock Warrant Certificate evidencing Stock Warrants, the Warrant Agent shall countersign a new Warrant Certificate evidencing such Stock Warrants only if such Warrant Certificate is issued in exchange or substitution for one or more previously countersigned Warrant Certificates evidencing such Stock Warrants or in connection with their transfer, as hereinafter provided.
