Common use of Issuance and Listing of Stock Clause in Contracts

Issuance and Listing of Stock. Newpark has reserved for issuance, and, as and when required by the provisions of this Agreement, will issue the Newpark Shares, and the Newpark Shares, when so issued, will be validly issued, fully paid and nonassessable. Newpark will use its best efforts to list the Newpark Shares on the New York Stock Exchange.
