Issuance by the Company. Consummation of the transactions contemplated hereby will transfer to the Investors good, valid and marketable title to the Shares, free and clear of any liens, claims or encumbrances, except as set forth in the Registration Rights Agreement, to the extent applicable, or in any legend which appears on any certificate representing any of the Shares.
