Issuance Notices. The Company shall give notice (the “Offer Notice”) to the Shareholders, stating (1) its bona fide intention to offer such New Securities, (2) the number of such New Securities to be offered, and (3) in reasonable detail, the price and terms, if any, upon which it proposes to offer such New Securities. The Offer Notice shall be delivered to the Shareholders at least thirty (30) days prior to the first issuance of the New Securities.
