Common use of Issuance of Class B Common Shares Clause in Contracts

Issuance of Class B Common Shares. In consideration for its purchase of the Purchased Securities, on the Closing Date, the Company shall issue to the Purchaser, for $0.001 per share, that number of the Class B Common Shares which, when coupled with the number of Class A Shares and any Series A Preferred Shares purchased by the Purchaser on the Closing Date, shall represent as of the Closing Date, not less than fifty-one percent (51%) of the aggregate voting power of the Company, represented by all Class A Shares, Series A Preferred Shares and Class B Common Shares of the Company, that are or would be outstanding on a Fully-Diluted Basis after giving effect to such issuance (the “Purchaser’s Class B Shares”).
