Common use of Issuance of Texas United Common Stock Clause in Contracts

Issuance of Texas United Common Stock. The shares of Texas United Common Stock to be issued by Texas United to the shareholders of GNB pursuant to this Agreement will, on the issuance and delivery to such shareholders pursuant to this Agreement, be duty authorized, validly issued, fully paid and nonassessable. The shares of Texas United common Stock to be delivered to the shareholders of GNB pursuant to this Agreement are and will be free of any preemptive rights of the shareholders of Texas United or any other person, firm or entity.

Issuance of Texas United Common Stock. The shares of Texas United Common Stock to be issued by Texas United to the shareholders of GNB Express pursuant to this Agreement will, on the issuance and delivery to such shareholders pursuant to this Agreement, be duty authorized, validly issued, fully paid and nonassessable. The shares of Texas United common Common Stock to be delivered to the shareholders of GNB Express pursuant to this Agreement are and will be free of any preemptive rights of the shareholders of Texas United or any other person, firm or entity.

Issuance of Texas United Common Stock. The shares of Texas United Common Stock to be issued by Texas United to the shareholders of GNB Northwest pursuant to this Agreement will, on the issuance and delivery to such shareholders pursuant to this Agreement, be duty authorized, validly issued, fully paid and nonassessable. The shares of Texas United common Common Stock to be delivered to the shareholders of GNB Northwest pursuant to this Agreement are and will be free of any preemptive rights of the shareholders of Texas United or any other person, firm or entity.
