Common use of Issuance of the Purchased Shares Clause in Contracts

Issuance of the Purchased Shares. The Purchased Shares, when issued and paid for in accordance with the terms and conditions of the applicable Transaction Documents, shall be duly authorized and validly issued, fully paid and non-assessable, free and clear of all Liens imposed by the Company.

Issuance of the Purchased Shares. The Purchased Shares, when issued and paid for in accordance with the terms and conditions against payment of the applicable Transaction DocumentsPurchase Price, shall will be duly authorized authorized, and duly and validly issued, fully paid and non-assessable, free and clear of all Liens imposed by security interests, liens, encumbrances and other restrictions, other than restrictions on transfer provided for under the CompanySecurities Act and in this Agreement.

Issuance of the Purchased Shares. The Purchased SharesShares have been duly authorized and, when issued and paid for in accordance with the terms and conditions of the applicable Transaction Documents, shall will be duly authorized and validly issued, fully paid and non-assessablenonassessable, free and clear of all Liens Liens, except for such restrictions on transfer or ownership imposed by applicable federal or state securities laws or set forth in this Agreement. The Company has reserved from its duly authorized capital stock the Companymaximum number of Common Shares issuable pursuant to this Agreement.
