Common use of Issuances Exempt Clause in Contracts

Issuances Exempt. Assuming the truth and accuracy of the representations and warranties of Blocker Corporation and the Funds contained in Article II hereof, the offer, sale, and issuance of the SkyTerra Shares will be exempt from the registration requirements of the Securities Act, and will have been registered or qualified (or are exempt from registration and qualification) under the registration, permit or qualification requirements of all applicable state securities laws, except as permitted pursuant to Section 4.2.

Issuances Exempt. Assuming the truth and accuracy of the representations and warranties of Blocker Corporation and the Funds Motient contained in Article II hereof, the offer, sale, and issuance of the Restricted SkyTerra Shares and the Restricted Additional SkyTerra Shares will be exempt from the registration requirements of the Securities Act, and will have been registered or qualified (or are exempt from registration and qualification) under the registration, permit or qualification requirements of all applicable state securities laws, except as permitted pursuant to Section 4.2.

Assuming the truth and accuracy of the representations and warranties of Blocker Corporation and the Funds Holders contained in Article II hereof, the offer, sale, and issuance of the SkyTerra Shares will be exempt from the registration requirements of the Securities Act, and will have been registered or qualified (or are exempt from registration and qualification) under the registration, permit or qualification requirements of all applicable state securities laws, except as permitted pursuant to Section 4.24.1 hereof.
