Issuances of Securities. Except as set forth in the Current SEC Reports, since December 31, 2003, Treasure Mountain has not issued or committed itself to issue, and prior to the consummation of the Merger will not issue or commit itself to issue, any Treasure Mountain Common Stock or any other security or any options, warrants, or other right to purchase any Treasure Mountain Common Stock or any other security, except as contemplated by this Agreement (including as contemplated by Section 10.12) and as set forth on Schedule 4.15 of the Treasure Mountain Schedule of Exceptions.
