Issue Capital. Effective as of the Closing Date contemplated by this agreement, the Shares issued to the Vendors on the Closing Date pursuant to Section 2.1 hereof shall be duly and validly issued and outstanding as fully paid and non-assessable shares of the Purchaser and will have been issued in full compliance with and all applicable securities legislation.
