Common use of Issue of Certificates and Global Notes Clause in Contracts

Issue of Certificates and Global Notes. Upon receipt by the Issuing and Paying Agent of the information enabling it, and instructions, to do so, the Issuing and Paying Agent shall, in the case of Bearer Notes, prepare and complete a temporary or, as the case may be, permanent Global Note in an aggregate principal amount equal to that of the Tranche to be issued or, in the case of Registered Notes, notify the Registrar of all relevant information. The Issuing and Paying Agent (unless otherwise agreed with the Registrar) shall complete one or more Certificates in an aggregate principal amount equal to that of the Tranche to be issued and shall authenticate each Certificate.
