Common use of Issue of Underlying Securities Clause in Contracts

Issue of Underlying Securities. The Corporation will cause the Underlying Securities to be issued pursuant to the Subscription Receipts and the certificates representing such Underlying Securities to be issued in accordance with the provisions of this Agreement and all Underlying Shares that are issued pursuant to the Subscription Receipts will be fully paid and non-assessable Common Shares of the Corporation and all Warrants that are issued pursuant to the Subscription Receipts will be duly and validly created and issued.

Issue of Underlying Securities. The Corporation will cause the Underlying Securities to be issued pursuant to the conversion of the Subscription Receipts and the certificates representing such Underlying Securities to be issued in accordance with the provisions of this Agreement and all Underlying Shares that are issued pursuant to the conversion of the Subscription Receipts will be fully paid and non-assessable Common Ordinary Shares of the Corporation and all Warrants that are issued pursuant to the conversion of the Subscription Receipts will be duly and validly created and issued.
