Common use of Item 1115 Agreement Clause in Contracts

Item 1115 Agreement. Party A and Party B hereby agree that Section 5(b)(i) of the Item 1115 Agreement, dated as of February 27, 2006 (the “Item 1115 Agreement”), among IndyMac Bank, F.S.B., IndyMac MBS, Inc., and Party A, shall be incorporated by reference into this Agreement so that Party B shall be an express third party beneficiary of the Item 1115 Agreement. A copy of the Item 1115 Agreement is annexed hereto at Annex B.

Item 1115 Agreement. Party A and Party B hereby agree that Section 5(b)(i) the terms of the Item 1115 Agreement, dated as of February 27November 15, 2006 (the “Item 1115 Agreement”), among IndyMac BankBank F.S.B (“Sponsor“), F.S.B.IndyMac ABS, Inc, (a “Depositor”), IndyMac MBS, Inc., Inc. (a “Depositor”) and Party A, Bear Xxxxxxx Financial Products Inc. (the “Derivative Provider”) shall be incorporated by reference into this Agreement so that and Party B shall be an express third party beneficiary of the Item 1115 Agreement. A copy of the Item 1115 Agreement is annexed hereto at Annex B.
