Common use of Japan Clause in Contracts

Japan. If the Territory is Japan, the MicroStrategy contracting entity on the order is MicroStrategy Japan Inc., with offices at Shin- Hanzomon Bldg, 2nd Floor, 13-1 Ichiban-cho, Chiyoda-ku, Tokyo 102-0082, Japan and the following terms apply: (a) The Governing Law will be the law of Japan; and (b) any disputes, actions, claims or causes of action arising out of or in connection with this Agreement or the parties’ relationship under it will be subject to the exclusive jurisdiction of the courts of Japan; and (c) in the event of a conflict between the English-language version and the Japanese-language version of this Agreement, or between the English-language version and the Japanese-language version of an order, the English-language version will prevail; and (d) references to “CPI” in the Agreement will be deemed to refer to “Japan CPI.”
