Joint Arrangers Clause Samples

Joint Arrangers. Where this Agreement provides for any matter to be determined by reference to the opinion of the Joint Arrangers or to be subject to the consent or request of the Joint Arrangers or for any action to be taken on the instructions of the Joint Arrangers, such opinion, consent, request or instructions shall (as between the Joint Arrangers) only be regarded as having been validly given or issued by the Joint Arrangers if all the Joint Arrangers shall have received prior notice of the matter on which such opinion, consent, request or instructions are required to be obtained and all the Joint Arrangers shall have given or issued such opinion, consent, request or instructions but so that, if the Borrower is informed by any of the Agents of any opinion, consent, request or instructions given or issued by the Joint Arrangers, it shall be entitled (and bound) to assume that such notice shall have been duly received by each Joint Arranger and that all the Joint Arrangers shall have reached unanimous agreement whether or not this is in fact the case.
