Joint Conditions to Close. The Partiesobligation to consummate the transactions to be performed by them in connection with the Closing is subject to the satisfaction of the following conditions: (i) no action, suit or proceeding shall be pending before any court or administrative agency or arbitrator that could result in a rescission of any of the Contemplated Transactions; and (ii) the Parties shall have submitted all forms required for approvals from Governmental Entities for the Contemplated Transactions, including, without limitation, the State of Nevada and any municipalities in which either Company does business.
