Joint Delivery. (i) Purchaser and Sellers shall execute and deliver counterparts of the Noncompetition Agreements provided for in Section 6.5(a) hereof; and
Joint Delivery. Delivering to each of Buyer and Seller at least one executed counterpart of each of the (a) Assignment and Assumption of Leases; (b) Assignment and Assumption of Service Contracts and Other Obligations; and (c) closing statement.
Joint Delivery. Delivering to each of Buyer and Seller at least one executed counterpart of each of the (a) Assignment and Assumption of Leases; (b) Assignment and Assumption of Service Contracts and Other Obligations; (c) closing statement and (d) all applicable state and county transfer tax returns.
Joint Delivery. On the date of Closing, the parties shall have agreed -------------- upon and executed the Closing Statement.
Joint Delivery. Purchaser and Stephen Martinez shall xxxxxxx to each other counterparts of the employment agreement provided for in Subsection 6.5 hereof.

Joint Delivery. In accordance with Section 3.02(a), at or immediately prior to the Closing, Purchaser and Sellers shall deliver to the Escrow Agent a joint written instruction signed by Purchaser and Sellers informing the Escrow Agent that the Closing will occur and directing the Escrow Agent to deliver the Escrowed Funds to Sellers and all investment income earned on the Escrowed Funds to Purchaser at the Closing.
Joint Delivery. Purchaser and Sellers shall deliver to each other counterparts of the Noncompetition and Confidentiality Agreement provided for in subsection 6.5(a). Purchaser and the Sellers named in Subsections 6.5(b) and (c) hereof shall deliver to each other counterparts of the Employment Agreements provided for in such Subsections.
Joint Delivery. HealthCare and the Shareholders shall deliver to each other counterparts of (i) the Shareholders' Noncompetition Agreements provided for in Section 7.6(a) hereof, (ii) the Shareholders' Employment Agreements provided for in Section 7.6(b) hereof.
Joint Delivery. HC Subsidiary and Shareholder shall deliver to each other counterparts of (i) Shareholder's Noncompetition and Confidentiality Agreement provided for in Section 7.6(a) hereof, (ii) Shareholder's Employment Agreement provided for in Section 7.6(b) hereof and (iii) the Lease Amendment provided for in Section 7.6(c) hereof.
