Joint Development Program Management. 9.01 During the term of this Agreement, the Steering Committee shall have as its responsibility the overall management of the activities conducted under this Agreement by the Parties, including the performance of the Joint Development Program, approval of Statements of Work, the transmittal of data, samples and Confidential Information. 9.02 Decisions of the Steering Committee shall be by majority of a quorum of the Steering Committee, with appointed members being able to vote by telephone if necessary. A quorum shall mean at least two (2) or more members, with an equal number of members from each Party. The Steering Committee may decide to delegate responsibilities, in which case the delegates will be responsible for submitting reports of their activities to be read into the Steering Committee minutes, which delegate reports will thereby be incorporated into the Steering Committee minutes. All decisions made by the Steering Committee shall be in writing with the signature of each Steering Committee member and shall become part of the minutes. 9.03 The decisions and activities of the Steering Committee will be recorded in minutes of the meetings of the Steering Committee. At a minimum, the minutes will contain: (a) the time and place of the meeting; (b) the names and titles of the attendees, including those present by telephone; and (c) the identity of the Joint Development Program under consideration. 9.04 The Statement of Work may be modified from time-to-time by the Steering Committee, but the Steering Committee has no authority to modify the terms of this Agreement. All Statements of Work to be conducted under this Agreement must be approved by the Steering Committee. 9.05 If the Steering Committee is unable to reach agreement as to any decision required of it, the issue shall be resolved between the Chief Executive Officer of Gecko and the Chief Executive Officer of MCEL. 9.06 During the course of the Joint Development Program, the Parties, with representation by the Steering Committee, shall meet as necessary (initially at least once every quarter) and at mutually convenient times and places to conduct responsibilities in accordance with this Agreement, to discuss progress and results of the Joint Development Program, and to revise the Statement of Work in writing as mutually agreed from time-to-time.

Joint Development Program Management. (a) One (1) designated employee of each Party shall act as overall project managers (which roles are hereinafter referred to as “Project Managers”) for his/her respective employer for work conducted by the separate Parties under a SOW. Each Party agrees to promptly notify the other Party if, from time to time, the then current Project Manager is replaced by a newly designated individual. The Project Managers shall be individuals deeply familiar with the goals and the background of the particular Joint Development Program and familiar with the technology related thereto. (b) The duties of the Project Managers include but are not limited to (i) coordination and scheduling of all tasks between the Parties relating to the SOW; (ii) coordination between the Parties for supervision and management of the tasks undertaken by each Party or its affiliates, respectively; (iii) administration and reporting of activities under the SOW; (iv) interfacing as a point of contact to the other Party; (v) resolving issues and disputes regarding day-to-day work related tasks among the Parties on a reasonable and appropriate basis; and (vi) referral to management of those issues which cannot be resolved by the Project Managers.

  • Project Management Plan 3.2.1 Developer is responsible for all quality assurance and quality control activities necessary to manage the Work, including the Utility Adjustment Work.   • Development Program RWJPRI shall be [**] and have [**] in consultation with the JDAC, to select LICENSED COMPOUNDS which shall then be designated PRODUCTS for further DEVELOPMENT by RWJPRI and marketing by ORTHO and its AFFILIATES. During such DEVELOPMENT efforts, KOSAN will assist RWJPRI as may be mutually agreed, at RWJPRI's expense, in chemical development, formulation development, production of labeled material and production of sufficient quantities of material for STAGE O and initial STAGE I studies. RWJPRI shall exercise diligent efforts, commensurate with the efforts it would normally exercise for products with similar potential sales volume and consistent with its overall business strategy, in developing such PRODUCT in accordance with the DEVELOPMENT PLAN established by RWJPRI. In the course of such efforts RWJPRI shall, either directly or through an AFFILIATE or SUBLICENSEE to which the license shall have been extended, take appropriate steps including the following: (i) in consultation with the JDAC, select certain LICENSED COMPOUNDS for STAGE O DEVELOPMENT; and (ii) establish and maintain a program reasonably designed, funded and resourced to obtain information adequate to enable the preparation and filing with an appropriate and properly empowered national regulatory authority all necessary documentation, data and [**] CERTAIN INFORMATION IN THIS EXHIBIT HAS BEEN OMITTED AND FILED SEPARATELY WITH THE COMMISSION. CONFIDENTIAL TREATMENT HAS BEEN REQUESTED WITH RESPECT TO THE OMITTED PORTIONS. other evidence required for IND non-rejection to commence and conduct human clinical trials of such PRODUCT. (iii) proceed following IND non-rejection to commence PHASE I, II, and III clinical trials, associated studies and such other work which RWJPRI reasonably deems to be required for subsequent inclusion in filings for MARKETING AUTHORIZATION; (iv) after such submissions are filed prosecute such submissions and file all reasonably necessary, reports and respond to all reasonable requests from the pertinent regulatory, authorities for information, data, samples, tests and the like.

  • Joint Development Committee (a) The Parties shall establish a Joint Development Committee (the “Joint Development Committee” or “JDC”), comprised of [**] representatives of Ikaria and [**] representatives of BioLineRx, to oversee the Development of Products. Each Party shall make its initial designation of its representatives not later than [**] days after the Effective Date. Each Party may change any one or more of its representatives to the Joint Development Committee at any time upon notice to the other Party. (b) The JDC shall meet at least [**] during the Development Term or more or less frequently as the JDC may agree. The JDC may meet in person or by means of a telephone or video conference call. One meeting of the JDC per year shall be held in person at Ikaria’s headquarters in Clinton, NJ and one meeting of the JDC per year shall be held in person at BioLineRx’s headquarters in Israel, provided, that the Parties’ representatives may participate in person, via telephone, or video conference in their discretion. Each Party shall use reasonable efforts to cause its representatives to attend the meetings of the JDC. If a representative of a Party is unable to attend a meeting, such Party may designate an alternate to attend such meeting in place of the absent representative. Each Party shall bear its own costs with respect to its participation on the JDC. Prior to every meeting of the JDC, Ikaria will provide to the JDC detailed reports describing Ikaria’s current clinical and development activities and plans. (c) The JDC shall be the vehicle by which BioLineRx may offer insight and guidance to Ikaria with respect to (i) establishing the Development Plan setting forth the Development Program’s objectives and the activities to be conducted, (ii) reviewing and updating the Development Plan from time to time, (iii) monitoring the progress and results of the Development Program, (iv) determining future Development Program activities, including Development activities relating to Manufacturing, to be conducted during the Development Term, and (v) establishing success criteria for the clinical trials (other than those for which success criteria are set forth in this Agreement), and determining whether the results of such clinical trials have achieved the applicable success criteria. (d) The JDC shall only act unanimously, with each Party given one (1) vote regardless of the number of representatives. If, however, the JDC is unable to reach agreement with respect to any matter within [**] days, the matter shall be referred to the Parties’ respective Executive Officers for resolution. If the Executive Officers are not able to resolve any such matter by consensus within [**] days following referral, Ikaria’s Executive Officer shall have the right to decide the matter taking into account Ikaria’s obligation to use Commercially Reasonable Efforts under Section 3.8. Notwithstanding anything in this Section 3.2, neither Party shall have a unilateral right to resolve any dispute involving the breach or alleged breach of this Agreement, to amend or modify this Agreement or the Parties’ respective rights and obligations hereunder or, except as expressly provided in this Section 3.2, any Development Plan or the Parties’ respective rights and obligations thereunder.
