It is acknowledged that this Agreement is the product of negotiation between the Parties hereto, and the fact that a particular party prepared the draft(s) or the final form of this Agreement shall not be relevant in the construction or interpretation of this Agreement should any provision or portion of this Agreement be deemed to be ambiguous.
