Joint Verification. During the ninety (90) day period after the final Service Tower Commencement Date (the “Joint Verification Period”), ACI and Vendor may inventory and validate any information that is reflected in or omitted from the Agreement which is based on the information provided by ACI, such as the Third Party Contracts (including leases, and licenses). If, during such Joint Verification Period, ACI or Vendor discovers inaccuracies in such information contained in the Agreement or inaccuracies because of an omission from the Agreement pertaining to such information, Vendor and ACI will amend the Agreement to provide for an equitable adjustment to the Charges, Baselines, Service Levels and other terms of the Agreement affected by such inaccuracies. If ACI or Vendor disputes the inaccuracy or the equitable adjustment, ACI and Vendor will submit the matter to in accordance with Section 20.1.
Joint Verification. For six months after the Agreement Start Date (the Joint Verification Period), CORPBANCA and IBM reserve the right to inventory and check any information reflected or omitted in the Agreement. If during the Joint Verification Period errors are detected in the information contained in this Agreement or errors due to an omission in this Agreement, IBM and CORPBANCA shall amend the Agreement by equitably adjusting the Charges, Baseline and any other term of the Agreement affected by such errors. If an agreement is not reached regarding the error or equitable adjustment, CORPBANCA and IBM shall submit the matter to the Dispute Resolution Procedure.
Joint Verification. Seller and Purchaser shall jointly inspect and verify ------------------ the existence and operability of Assets to be delivered on the Closing Date, which inspection and verification shall be carried out, at the latest, one (1) day prior to the Closing.
Joint Verification. During the first three months after the Effective Date, Vendor may gather, inventory, and validate certain information relating to the Contracts, including the existence of material obligations under any such Contract that are not related to the Services to be performed, or the Deliverables to be provided, by Vendor hereunder. If, during such period, Vendor discovers information causing it to reasonably believe that any particular Contract contains material obligations not related to the Services, Vendor shall promptly bring the matter to the attention of the Commonwealth. If the Parties are subsequently unable to resolve such matter to their mutual satisfaction, either Party may submit such matter to the dispute-resolution process described in Section 24.

Joint Verification. During the six months after the Effective Date (the "JOINT VERIFICATION PERIOD"), SCA and IBM reserve the right to inventory and validate any information that is reflected in or omitted from this Master Agreement. If, during such Joint Verification Period, SCA or IBM discovers inaccuracies in the information or an omission from this Master Agreement, IBM and SCA will amend this Master Agreement to provide for an equitable adjustment to the charges, Baselines and other terms of this Master Agreement affected by such inaccuracies. Any dispute will be resolved through the Dispute Resolution Process.
Joint Verification. After the Effective Date and prior to June 30, 2010 with respect to DRAM Testing Equipment or prior to March 31, 2010 with respect to LCD Driver Assembly and Testing Equipment, both parties shall appoint qualified personnel to jointly verify the Equipment at the Seller’s site. The Seller agrees to fix any of the Equipment which does not conform to the Specifications or in the event of no Specifications, have the ordinary functionality of like equipment as soon as practical thereafter, but no later than the Delivery Date. The Equipment shall be deemed having the ordinary functionality or conforming to the Specifications, as applicable, at the time of joint verification unless otherwise the Purchaser raises any objection to any or all of the Equipment during the course of the joint verification. The foregoing Equipment status shall be the only criteria for the Purchaser to verify the Equipment in the verification report as set forth in Section 6.2.
Joint Verification. During the 90 day period following the Effective Date, ISSC and Comdata reserve the right to inventory, validate and update, any information that is reflected in or omitted from the attached Supplement or Schedules. If discrepancies are detected during such period, there shall be an equitable adjustment to the Annual Services Charge. If either Party disputes the discrepancy then the Parties will submit the matter to the Joint Advisory Committee for dispute resolution as specified in Section 16 of this Agreement.

If, during such Joint Verification Period, Allied Holdings or IBM discovers inaccuracies in the information contained in this Agreement or inaccuracies because of an omission from this Agreement, IBM and Allied Holdings will amend this Agreement to provide for an equitable adjustment to the charges, Baselines and other terms of this Agreement affected by such inaccuracies. If Allied Holdings or IBM disputes the inaccuracy or the equitable adjustment, Allied Holdings and IBM will submit the matter to the Dispute Resolution Process. If the adjustment will result in an increase to the Annual Services Charge of an amount equal to or greater than twenty (20) percent, and the Dispute Resolution Process has not produced a mutually agreeable resolution, Allied Holdings will have 30 days to exercise the right to terminate this agreement upon satisfaction of :
1. reimbursement to IBM of IBM's start-up costs;
2. written notice to IBM.
Joint Verification. During the 90 day period following the Commencement Date, ISSC and ADVO reserve the right to inventory, validate and update, any information that is reflected in or omitted from the attached Supplement or Schedules. If discrepancies are detected during such period, the Parties shall attempt to negotiate in good faith modifications to the Supplement or Schedules and/or an equitable adjustment to the Annual Services Charge. If the Parties are unable to reach agreement on modifications or an equitable adjustment, then the Parties will submit the matter to the Joint Advisory Committee for dispute resolution as specified in Section 16 of this Agreement. Nothing in this Section shall prevent the Parties from exercising any other remedies available to them at law or under this Agreement; including, but not limited to, any termination remedies.
