Third Party Verification. 4.8.1 The SPD shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to SECI and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the SPD at the site of the Power Project.
4.8.2 The third party may verify the construction works/operation of the Power Project being carried out by the SPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from SPD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 5.10.1 The Solar Power Developer shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to APDCL, its authorised representatives including representatives from AEGCL and a third Party nominated by any Governmental Instrumentality for inspection and verification of the works being carried out by the Solar Power Developer at the site of the Power Project. The Solar Power Developer shall bear the cost of appointment of Third Party verification.
5.10.2 The third party may verify the construction works/operation of the Power Project being carried out by the Solar Power Developer and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from Solar Power Developer or require the works to be stopped or to comply with the instructions of such third party.
5.10.3 The third party may carry out checks for testing the CUF of the Power Project. During a Contract Year, if the CUF of the Power Project is found to be below the minimum CUF with respect to Solar PV technology on account of reasons solely attributable to Solar Power Developer, the Solar Power Developer shall be liable for non fulfillment of its obligation. The liability, shall be levied by APDCL for non supply of Power by the Solar Power Developer
Third Party Verification. 4.8.1 The WPD shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to Buyer and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the WPD at the site of the Power Project.
4.8.2 The third party may verify the construction works/operation of the Power Project being carried out by the WPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from WPD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 4.7.1 The SPG shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to PGVCL and a third Party nominated by PGVCL or any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the SPG at the site of the Power Project.
4.7.2 The third party may verify the construction works/operation of the Power Project being carried out by the SPG and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from SPG or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 4.8.1 The SPD shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to NVVN and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the SPD at the site of the Power Project.
4.8.2 The third party may verify the construction works/operation of the Power Project being carried out by the SPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from SPD or require the works to be stopped or to comply with the instructions of such third party.
4.8.3 The third party may carry out checks for testing the CUF of the Power Project. During a Contract Year, if the CUF of the Power Project is found to be below [Insert value i.e. 5% less than CUF] or if it is found that the SPD has not been able to maintain a CUF of [Insert value i.e. 3% less than CUF] for a consecutive/non consecutive period of three (3) months during a Contract Year on account of reasons solely attributable to SPD, the SPD shall be liable for non fulfillment of its obligation. The liability shall be equal to the amount levied by the Discom on NNVN for non supply of power by NVVN which in turn shall have the right to assign such liability to the SPD under this Agreement.
Third Party Verification. 4.8.1 The RPD shall be further required to provide entry to the sites of the Project (from which power under this Agreement is being made available) free of all encumbrances at all times during the Term of the Agreement to SECI and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the RPD at the site of the Power Project.
4.8.2 The third party may verify the construction works/operation of the Project being carried out by the RPD and if it is found that the construction works/operation of the project is not as per the Prudent Utility Practices, it may seek clarifications from RPD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 4.8.1 The HPD shall be further required to provide entry to the site of the Power Project (from which power under this Agreement is being made available) free of all encumbrances at all times during the Term of the Agreement to SECI and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the HPD at the site of the Power Project. The HPD shall provide full support to SECI and/or the third party in this regard.
4.8.2 The third party may verify the construction works/operation of the Power Project being carried out by the HPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from HPD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 4.8.1 The BESSD shall be further required to provide entry to the site of the Project free of all encumbrances at all times during the Term of the Agreement to SECI (or its authorized representatives) and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the BESSD at the site of the Project. The BESSD shall provide full support to SECI and/or the third party in this regard.
4.8.2 The third party may verify the construction works/operation of the Project being carried out by the BESSD and if it is found that the construction works/operation of the Project is not as per the Prudent Utility Practices, it may seek clarifications from BESSD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. 4.8.1 The HPD shall be further required to provide entry to the site of the Power Project free of all encumbrances at all times during the Term of the Agreement to SECI and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the HPD at the site of the Power Project.
4.8.2 The third party may verify the construction works/operation of the Power Project being carried out by the HPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from HPD or require the works to be stopped or to comply with the instructions of such third party.
Third Party Verification. Please provide a written confirmation from one of the following persons or entities that such person or entity has taken reasonable steps to verify that the Investor is an accredited investor within the prior three months and has determined that the Investor is an accredited investor: • A registered broker-dealer. • An investment adviser registered with the Securities and Exchange Commission. • A licensed attorney who is in good standing under the laws of the jurisdictions in which he or she is admitted to practice law; or • A certified public accountant who is duly registered and in good standing under the laws of the place of his or her residence or principal office. • Payment: Payment of five million ($5,000,000 USD) for the aggregate principal amount of Notes subscribed for shall be made by delivery by Closing (as defined in Section 3 of the Subscription Agreement) of cash to the Company at the address set forth below or an account specified by the Company.
