JSC Deadlock Resolution. The Parties shall, in good faith, use reasonable efforts to settle amicably any failure of the JSC to reach a unanimous decision. In the event that the JSC is not able to reach a unanimous decision on any issue the matter will first be referred to a senior business person with the authority to decide such matter for each Party. If such senior business person cannot reach agreement on such matter within thirty (30) Business Days, then such matter may be referred by either Party to mediation pursuant to Section 19.13(a) below provided always that such mediation shall not be binding on the Parties unless a written agreement resolving such issue is signed by both Parties.
