Judgments and Orders. A judgment or order shall be entered against the Borrower or any Subsidiary by any court, and (i) in the case of a judgment or order for the payment of money, either (A) such judgment or order shall continue undischarged and unstayed for a period of 20 days in which the aggregate amount of all such judgments and orders exceeds $200,000 or (B) enforcement proceedings shall have been commenced upon such judgment or order and (ii) in the case of any judgment or order for other than the payment of money, such judgment or order could, in the reasonable judgment of the Required Banks, together with all other such judgments or orders, have a significant possibility of having a Materially Adverse Effect on the Borrower;
Judgments and Orders. One or more judgments or orders for the payment of money in the aggregate in excess of Fifty Million Dollars ($50,000,000) (or the equivalent in any foreign currency) shall be rendered against Borrower or any Material Subsidiary and either (i) enforcement proceedings shall have been commenced by any creditor upon such judgment or order or (ii) there shall be any period of ninety (90) consecutive days during which a stay of enforcement of such judgment or order, by reason of a pending appeal or otherwise, shall not be in effect; or
Judgments and Orders. Except as described in Exhibit 2.5(d), there are no outstanding judgments, tax liens, orders, writs or decrees of any judicial or other governmental authority binding specifically upon the Seller or the Subject Assets and not of general application, other than judgments, orders, writs and decrees with which the Seller has complied and which have no future applicability.
Judgments and Orders. 15.8.1 There has been:
(a) no bankruptcy order made in respect of any current director or officer of a Group Company;
(b) no presentation of a petition for such an order;
(c) no interim order under section 253 of the Insolvency Xxx 0000 made in respect of any current director or officer of a Group Company; and
(d) no any application for such an order.
15.8.2 There is no unsatisfied judgment or court order outstanding against any Group Company and there has been no distress, execution or other process levied on any asset of a Group Company.
Judgments and Orders. In respect of any judgment or order given or made against the Company for any amount due hereunder that is expressed and paid in a currency (the “Judgment Currency”) other than Dollars, the Company will, to the extent permitted by applicable law, indemnify the Initial Purchaser against any loss incurred by it as a result of any variation as between (i) the rate of exchange at which the Dollar amount is converted into the Judgment Currency for the purpose of such judgment or order and (ii) the rate of exchange at which the Initial Purchaser is able to purchase Dollars with the amount of the Judgment Currency actually received, in accordance with normal banking procedures. The foregoing indemnity shall constitute a separate and independent obligation of the Company and shall continue in full force and effect notwithstanding any such judgment or order as aforesaid. The term “rate of exchange” shall include any premiums and costs of exchange payable in connection with the purchase of or conversion into Dollars.
Judgments and Orders. The Company or any Subsidiary shall fail within 30 days to pay, bond or otherwise discharge any judgment or order for the payment of money in excess of $100,000, which is not stayed on appeal or otherwise being appropriately contested in good faith.
Judgments and Orders. Baylor is not subject to any judgment, -------------------- order, writ, injunction or decree of any court, arbitration panel, or governmental authority, which could have a material adverse impact on the business of Baylor taken as a whole, or on its ability to consummate the transactions contemplated herein.
Judgments and Orders relating to a Note This Guarantee shall cover any amount payable by the Maker under or in connection with any judgment or order relating to any of the Notes.
Judgments and Orders. Fountain View is not subject to any judgment, -------------------- order, writ, injunction or decree of any court, arbitration panel, or governmental authority, which could have a material adverse impact on the business of Fountain View taken as a whole, or on its ability to consummate the transactions contemplated herein.
Judgments and Orders. 22.17.1. Any member of the Group fails to discharge in full, within 10 (ten) Business Days of the due date, an amount payable pursuant to a final judgment or final order made or given by any court or other authority of competent jurisdiction). No Event of Default will occur under this clause 22.17.1, if the aggregate of all such amounts payable by the Obligors at any time is less than ZAR15,000,000 (fifteen million Rand) (or its equivalent) or are discharged within 15 (fifteen) Business Days.
22.17.2. For the purposes of clause 22.17.1 above, a final judgment or order means a judgment or order which:
22.17.2.1. is not appealable;
22.17.2.2. is appealable, but in respect of which the period for the lodging of an appeal has lapsed and the applicable member of the Group has failed to institute appeal proceedings;
22.17.2.3. is not capable of rescission; or
22.17.2.4. is capable of rescission, but in respect of which the period for applying for rescission has lapsed and the applicable member of the Group has failed to apply for rescission or has applied for rescission of such judgment or order and the application for rescission has been denied.
