(a) There is no (i) outstanding judgment, order, decree, award, stipulation or injunction of any federal, state or local governmental entity or arbitrator (a "Governmental Entity") against or affecting the Company or its properties, assets or business or (ii) action pending against or affecting the Company or its properties, assets or business.

All such pending Actions shall be disclosed to Buyer in writing prior to the Closing Date.
