Common use of Judgments; Penalties Clause in Contracts

Judgments; Penalties. One or more fines, penalties or final judgments, orders or decrees for the payment of money in an amount, individually or in the aggregate, of at least Five Hundred Thousand Dollars ($500,000) (not (x) covered by independent third-party insurance as to which liability has been accepted by such insurance carrier or (y) otherwise indemnified) shall be rendered against any Loan Party or any of its Subsidiaries by any Governmental Authority, and the same are not, within thirty (30) days after the entry, assessment or issuance thereof, discharged, or after execution thereof, or stayed pending appeal, or such judgments are not discharged prior to the expiration of any such stay (provided that no Advances shall be made prior to the discharge, or stay of such fine, penalty, judgment, order or decree); or

One or more fines, penalties penalties, or final judgments, orders or decrees for the payment of money in an amount, individually or in the aggregate, of at least Five Two Hundred Fifty Thousand Dollars ($500,000250,000) (not (x) covered by independent third-party insurance as to which liability has been accepted by such insurance carrier or (y) otherwise indemnifiedcarrier) shall be rendered against any Loan Party Borrower or any of its Subsidiaries Subsidiary Guarantor by any Governmental Authority, and the same are not, within thirty one (301) days year after the entry, assessment or issuance thereof, discharged, satisfied, or paid, or after execution thereof, stayed or stayed bonded pending appeal, or such judgments are not discharged prior to the expiration of any such stay (provided that no Advances shall Credit Extensions will be made prior to the satisfaction, payment, discharge, stay, or stay bonding of such fine, penalty, judgment, order or decree, subject to waiver by the Required Lenders as defined in the Lender Intercreditor Agreement); or;

One or more fines, penalties or final judgments, orders or decrees for the payment of money in an amount, individually or in the aggregate, or litigation or other dispute resolution settlement payments by Borrower or any of its Subsidiaries, of at least Five Hundred Thousand Dollars ($500,000) 100,000.00 (not (x) covered by independent third-party insurance as to which liability has been accepted by such insurance carrier or (y) otherwise indemnifiedcarrier) shall be rendered against any Loan Party Borrower or any of its Subsidiaries by any Governmental Authority, and the same are not, within thirty ten (3010) days after the entry, assessment or issuance thereof, discharged, or after execution thereof, or stayed pending appeal, or such judgments are not discharged prior to the expiration of any such stay (provided that no Advances shall Credit Extensions will be made prior to the discharge, or stay of such fine, penalty, judgment, order or decree); or;
