JUNIOR PREFERRED TERM SHEET. Ranking: Senior to Company’s Common Stock and each other class of preferred stock that by its terms ranks junior to the Series C Preferred Stock; pari passu with the series of preferred stock of the Company that is designated as “Junior Participating Preferred Stock” and any other class of preferred stock that by its terms ranks pari passu with the Series C Preferred Stock; and junior to all classes of capital stock that by their terms rank senior to the Series C Preferred Stock.
