Common use of Jurisdiction and Consent to Service Clause in Contracts

Jurisdiction and Consent to Service. Without limiting the jurisdiction or venue of any other court, each of Seller and Buyer (a) agrees that any suit, action or proceeding arising out of or relating to this Agreement may be brought solely in the state or federal courts of Georgia; (b) consents to the exclusive jurisdiction of each such court in any suit, action or proceeding relating to or arising out of this Agreement; (c) waives any objection which it may have to the laying of venue in any such suit, action or proceeding in any such court; and (d) agrees that service of any court paper may be made in such manner as may be provided under applicable laws or court rules governing service of process.

Without limiting the jurisdiction or venue of any other court, Lessee and each of Seller and Buyer Contributor (a) agrees agree that any suit, action or proceeding arising out of or relating to this Agreement may will be brought solely in the state or federal courts of Georgia; the State of New York, (b) consents consent to the exclusive jurisdiction of each such court in any suit, action or proceeding relating to or arising out of this Agreement; , (c) waives waive any objection which it may have to the laying of venue in any such suit, action or proceeding in any such court; , and (d) agrees agree that service of any court paper may be made in such manner as may be provided under applicable laws or court rules governing service of process.

Without limiting Each of the jurisdiction or venue of any other court, each of Seller Sellers and Buyer Purchaser (ai) agrees agree that any suit, action or proceeding arising out of or relating to this Agreement may be brought solely in the state or federal courts located in the city of GeorgiaChicago, Illinois; (bii) consents to the non-exclusive jurisdiction of each such court in any suit, action or proceeding relating to or arising out of this Agreement; (ciii) waives any objection which that it may have to the laying of venue in any such suit, action or proceeding in any such court; and (div) agrees that service of any court paper may be made in such manner as may be provided under applicable laws Laws or court rules governing service of process.
