Common use of Jurisdiction and Consent to Service Clause in Contracts

Jurisdiction and Consent to Service. Each of Seller, Buyer and Parent (a) agrees that any suit, action or proceeding arising out of or relating to this Agreement shall be brought in the state or federal courts of California or New York; (b) consents to the non-exclusive (as between the courts in California and New York) jurisdiction of each such court in any suit, action or proceeding relating to or arising out of this Agreement; (c) waives any objection that it may have to the laying of venue in any such suit, action or proceeding in any such court; and (d) agrees that service of any court paper may be made in such manner as may be provided under applicable laws or court rules governing service of process.
