Common use of Jurisdiction and Service Clause in Contracts

Jurisdiction and Service. In relation to any legal action or proceedings arising out of or in connection with this Indenture, the Notes or the Guarantees, Dutch Co-Issuer and each Guarantor that is organized under laws other than those of the United States or a state or territory thereof or the District of Columbia hereby (i) irrevocably submit to the jurisdiction of the federal and state courts in the Borough of Manhattan in the City, County and State of New York, United States (ii) waives, to the fullest extent permitted by law, any objection to any suit, action or proceeding that may be brought in connection with this Indenture, the Notes or the Guarantees in such courts on the grounds of venue, residence or domicile or on the ground that any such suit, action or proceeding has been brought in an inconvenient forum, (iii) designate and appoint U.S. Co-Issuer as their authorized agent upon which process may be served in any such suit, action or proceeding that may be instituted in any such court, and (iv) agree that service of any process, summons, notice or document by U.S. registered mail addressed to U.S. Co-Issuer, with written notice of said service to such Person at the address of U.S. Co-Issuer set forth in Section 12.1, shall be effective service of process for any such legal action or proceeding brought in any such court.

In relation to any legal action or proceedings arising out of or in connection with this Indenture, Indenture and the Notes or and the Guarantees, Dutch the Lux Co-Issuer and each Guarantor that is organized under laws other than those of the United States or a state or territory thereof or the District of Columbia or France hereby (i) irrevocably submit submits to the jurisdiction of the federal and state courts in the Borough of Manhattan in the City, County and State of New York, United States (ii) consents that any such action or proceeding may be brought in such courts and waives, to the fullest extent permitted by law, any objection to any suit, action or proceeding that may be brought in connection with this Indenture, the Notes or the Guarantees in such courts on the grounds of venue, residence or domicile or on the ground that any such suit, action or proceeding has been brought in an inconvenient forumforum and agrees not to plead or claim the same, (iii) designate designates and appoint appoints the U.S. Co-Issuer as their its authorized agent upon which process may be served in any such suit, action or proceeding that may be instituted in any such court, and (iv) agree agrees that service of any process, summons, notice or document by U.S. registered mail addressed to the U.S. Co-Issuer, with written notice of said service to such Person at the address of the U.S. Co-Issuer set forth in Section 12.1, shall be effective service of process for any such legal action or proceeding brought in any such court.

In relation to any legal action or proceedings arising out of or in connection with this Indenture, the Notes or the Guarantees, Dutch Co-(a) the Issuer and each Guarantor that is organized under laws other than those of the United States or a state or territory thereof or the District of Columbia Guarantors hereby (i) irrevocably submit submits to the jurisdiction of the federal and state courts in the Borough of Manhattan in the City, County and State of New York, United States and (ii) waives, to the fullest extent permitted by law, any objection to any suit, action or proceeding that may be brought in connection with this Indenture, the Notes or the Guarantees in such courts on the grounds of venue, residence or domicile or on the ground that any such suit, action or proceeding has been brought in an inconvenient forum, forum and (iiib) designate the Parent Guarantor and appoint U.S. Co-each Guarantor that is organized under laws other than those of the United States or a state or territory thereof or the District of Columbia hereby (i) designates and appoints the Issuer as their its authorized agent upon which process may be served in any such suit, action or proceeding that may be instituted in any such court, court and (ivii) agree agrees that service of any process, summons, notice or document by U.S. registered mail addressed to U.S. Co-the Issuer, with written notice of said service to such Person at the address of U.S. Co-the Issuer set forth in Section 12.1, shall be effective service of process for any such legal action or proceeding brought in any such court.
