Common use of Jurisdiction and Venue; Service of Process Clause in Contracts

Jurisdiction and Venue; Service of Process. Each of the parties hereto hereby irrevocably and unconditionally submits, for itself and its property, to the exclusive jurisdiction of the courts of the State of Delaware and any appellate court thereof, in any action or proceeding arising out of or relating to this Guaranty or any of the transactions contemplated hereby or for recognition or enforcement of any judgment relating thereto, and each of the parties hereby irrevocably and unconditionally (a) agrees not to commence any such action except in such court, (b) agrees that any claim in respect of any such action or proceeding may be heard and determined in such Delaware state court, (c) waives, to the fullest extent it may legally and effectively do so any objection which it may now or hereafter have to venue of any such action or proceeding in any such Delaware state court, and (d) waives, to the fullest extent permitted by law, the defense of any inconvenient forum to the maintenance of such action or proceeding in any such Delaware state court. Each of the parties hereto agrees that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Each of the parties hereto irrevocably consents to service of process in any such action or proceeding in the manner provided for notices in Section 9 of this Guaranty; provided, however, that nothing in this Guaranty shall affect the right of any party hereto to serve process in any other manner permitted by law.

(a) Each of the parties hereto Loan Parties, the Borrower, the Administrative Agent and the Lenders each hereby irrevocably and unconditionally submits, for itself and its property, submits to the non-exclusive jurisdiction of any state or federal court in the courts Borough of Manhattan, The City of New York for the State purpose of Delaware and any appellate court thereofsuit, in any action action, proceeding or proceeding judgment relating to or arising out of or relating any Credit Document and to this Guaranty or any the laying of venue in the Borough of Manhattan, The City of New York. Each of the transactions contemplated hereby or for recognition or enforcement of any judgment relating theretoLoan Parties, the Administrative Agent and the Lenders each of the parties hereby irrevocably and unconditionally (a) agrees not to commence any such action except in such court, (b) agrees that any claim in respect of any such action or proceeding may be heard and determined in such Delaware state court, (c) waives, to the fullest extent it may legally and effectively do so any objection which it may now or hereafter have to venue of any such action or proceeding in any such Delaware state court, and (d) waives, to the fullest extent permitted by applicable law, any objection to the defense laying of the venue of any inconvenient forum to the maintenance of such suit, action or proceeding brought in the aforesaid courts and hereby irrevocably waives any claim that any such suit, action or proceeding brought in any such Delaware state courtcourt has been brought in an inconvenient forum. 103 (b) Each of the parties hereto Loan Parties agrees that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Each of the parties hereto irrevocably consents to service of process in any such action or proceeding in the manner provided for notices may be effected by mailing a copy thereof by registered or certified mail (or any substantially similar form of mail), postage prepaid, to it at its address set forth in Section 9 13.08, or to such Loan Party at such other address of this Guaranty; provided, however, which the Administrative Agent shall have been notified pursuant thereto. Each Loan Party further agrees that nothing in this Guaranty herein shall affect the right to effect service of any party hereto to serve process in any other manner permitted by law or shall limit the right to xxx in any other jurisdiction; and (c) Each Loan Party waives, to the maximum extent not prohibited by law, any right it may have to claim or recover in any legal action or proceeding referred to in this subsection any special, exemplary, punitive or consequential damages.
