Common use of Jurisdiction of Depositary Clause in Contracts

Jurisdiction of Depositary. The parties hereto agree that, for purposes of the New York UCC, notwithstanding anything to the contrary contained in any other agreement relating to the establishment and operation of the Accounts, the jurisdiction of the Depositary (in its capacity as the Securities Intermediary and as a bank) is the State of New York and the laws of the State of New York govern the establishment and operation of the Accounts.

Jurisdiction of Depositary. The parties hereto Borrower, the Offshore Collateral Agent and the Depositary agree that, for purposes of the New York UCC, notwithstanding anything to the contrary contained in any other agreement relating to the establishment and operation of the Offshore Accounts, the jurisdiction of the Depositary (in its capacity as the Securities Intermediary and as a bankBank) is the State of New York and the laws law of the State of New York shall govern the establishment and operation of the Offshore Accounts.

The parties hereto Borrower, the Collateral Agent and the Depositary Bank agree that, for purposes of Articles 8 and 9 of the New York UCC, notwithstanding anything to the contrary contained in any other agreement relating to the establishment and operation of the Accounts, the jurisdiction of the Depositary Bank (in its capacity as the Securities Intermediary securities intermediary and as a bank) is the State of New York and the laws of the State of New York govern the establishment and operation of the Accounts.
