As of the Closing Date, each of Superior and each Originator is a registered organization of the type and is organized under the laws of the State or province set forth in Schedule 4.01(b) (which is its only jurisdiction of organization) and Superior's or such Originator's organizational identification number (if any), the current location of Superior's or such Originator's chief executive office, principal place of business, other offices, the warehouses and premises within which any records relating to the Receivables is stored or located, and the locations of its records concerning the Receivables are set forth in Schedule 4.01(b) and none of such locations have changed within the past 12 months. During the prior five years, except as set forth in Schedule 4.01(b), neither Superior nor any Originator has been known as or used any corporate, legal, fictitious or trade name. In addition, Schedule 4.01(b) lists the federal employer identification number of Superior and each Originator.
