Jurisdiction Specific Terms. Licensee acknowledges and agrees to abide by any applicable jurisdiction-specific terms and conditions to this Certification Xxxx License Agreement, located at xxxx://xxxxxxxxxxx.xxx/participate/legal-documents (or other applicable online location upon notice from OCP).
Jurisdiction Specific Terms. To the extent Webflow processes Personal Information originating from and protected by Data Protection Laws in one of the jurisdictions listed in Schedule 5 (Jurisdiction Specific Terms), the terms specified in Schedule 5, with respect to the applicable jurisdiction(s), will apply.

This Client Agreement may only be presented to, and its effectiveness is conditioned upon execution by, a Client headquartered and established in the United States of America or one of the jurisdictions identified on Exhibit B (Permitted Territory) as of the Effective Date. a. If the applicable “Jurisdiction of Client Establishment” identified on page 1 of this Client Agreement is not the United States of America, then the terms identified as applicable for such country or territory in the Jurisdiction-Specific Terms Appendix attached to and incorporated within the General Terms, as well as the terms of the Jurisdiction-Specific Terms Appendix attached to and incorporated into each of the Applicable Terms and Conditions, will replace or modify those terms of the Client Agreement accordingly.
b. Further, if the “Jurisdiction of Performance” identified on any Order Form is not the United States of America, then the terms identified as applicable for such country or territory in the Jurisdiction-Specific Terms Appendix attached to and incorporated within the General Terms, as well as the terms of the Jurisdiction-Specific Terms Appendix attached to and incorporated into each of the Applicable Terms and Conditions will apply and supersede those terms of the Client Agreement otherwise applicable solely to the extent necessary to comply with Applicable Law with respect to the performance of services or licenses granted within such jurisdiction.
Jurisdiction Specific Terms. 9.1 Cloudpractice Pty Ltd trading as Practifi If you are located in Australia, New Zealand or the Asia Pacific region then you are contracting with Cloudpractice Pty Ltd trading as Practifi of Xxxxx 00, 000 Xxxx Xxxxxx, Xxxxxx, XXX, 0000, Xxxxxxxxx and this Agreement shall be governed by the laws of the state of New South Wales, Australia, without reference to its conflict of law provisions. In the event of a legal dispute, you hereby irrevocably accept the personal jurisdiction of the state or federal courts of the state of New South Wales, Australia. In no event shall the United Nations Convention on Contracts for the International Sale of Goods apply to, or govern, this Agreement.
9.2 Practifi, Inc. If you are located in North America, South America, Europe, Middle East, Africa or Antarctica then you are contracting Practifi, Inc. of 000 X. Xxxxxx Xxxxxx, X00, Xxxxxxx, Xxxxxxxx, 00000, Xxxxxx Xxxxxx of America and this Agreement shall be governed by the laws of the state of Delaware, USA, without reference to its conflict of law provisions. In the event of a legal dispute, you hereby irrevocably accept the personal jurisdiction of the state or federal courts of the state of Delaware, USA. In no event shall the United Nations Convention on Contracts for the International Sale of Goods apply to, or govern, this Agreement. "AppExchange" means the online directory of on-demand applications that work with the Service, located at xxxx://xxx.xxxxxxxxxxx.xxx or at any successor websites.
Jurisdiction Specific Terms. The additional Jurisdiction-Specific Terms set out on Schedule 3 will apply with respect to Clients domiciled in a designated jurisdiction.
