International Provisions. (1) The Services eQuorum makes available, and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions. (2) For Services that Customer accesses from outside the United States or Canada, eQuorum will use best efforts, but shall not be obligated, to acquire Support from local eQuorum distributors, sales agents or other representatives under the terms and conditions in effect in such locations. (3) Without limiting the foregoing, by using the eQuorum Service, you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. The provisions of this Section will survive the expiration or termination of this Agreement for any reason.

International Provisions. The following provisions shall apply only if you are located in the countries listed below.

International Provisions. A2.1. To the extent the Supplier’s provision of Services to eBay involves a transfer of eBay Data originating from Australia to another jurisdiction for further processing, Supplier shall take such steps as are reasonable in the circumstances to ensure that transfer does not breach Applicable Data Protection Law. A2.2. To the extent the Applicable Data Protection Law requires additional steps or safeguards be imposed before the data can be transferred to another jurisdiction for further processing, Supplier agrees to cooperate with eBay to take appropriate steps to comply with Applicable Data Protection Law.

International Provisions. 8.1. The Parties acknowledge and agree that the Processing of Customer Personal Data by Smartsheet may involve an international transfer of Customer Personal Data from Customer to Smartsheet (“International Transfer”). Customer acknowledges that, as of the Effective Date, Smartsheet’s primary processing activities are in the United States as detailed at xxxxx://xxx.xxxxxxxxxx.xxx/data-access-and-transfers. 8.2. To the extent that Smartsheet Processes Customer Personal Data originating from and protected by applicable Data Protection Laws in one of the Jurisdictions listed in Schedule 4 (Jurisdiction Specific Terms), then the terms specified therein with respect to the applicable jurisdiction(s) will apply in addition to the terms of this DPA. 8.3. To the extent that Customer’s use of the Services requires a valid transfer mechanism to lawfully transfer Customer Personal Data from a jurisdiction (i.e., the European Economic Area (“EEA”), the UK, Switzerland or any other jurisdiction listed in Schedule 4) to Smartsheet located outside of that jurisdiction (a “Transfer Mechanism”), the terms and conditions of Schedule 3 (Cross Border Transfer Mechanisms) will apply. 8.4. If any Transfer Mechanism fails as a lawful data transfer mechanism for an International Transfer, the Parties will act in accordance with Section 9.8 (Variations in Data Protection Laws) of this DPA.

International Provisions a. Processing in the United States. Customer acknowledges that, as of the Effective Date, Watermark’s primary processing facilities are in the United States.

International Provisions. Cross Border Data Transfer Mechanisms for Data Transfers. To the extent Client’s use of the Services requires the transfer of Personal Data from a jurisdiction identified in Schedule 3 to a location outside of that jurisdiction (“Transfer Mechanism”), the terms set forth in Schedule 3 (Cross Border Transfer Mechanisms) of this DPA will apply.

International Provisions. If Agency maintains an office outside the United States, conducts business with Persons other than U.S. citizens, or at any time offers to resell Services to any Person that is not a U.S. citizen, the following provisions will apply: (a) Agency will comply with all laws relating to the conduct of business practices which prohibit any gratuities or inducements. Agency acknowledges that Xxx.xxx is subject to certain United States laws, including but not limited to the Foreign Corrupt Practices Act of 1977 and any amendments thereto, which apply to activities carried out on Xxx.xxx's behalf outside the United States. Agency agrees neither to take nor omit to take any action if such act or omission might cause Xxx.xxx to be in violation of any such laws. Upon written notice from Xxx.xxx, Agency shall provide such information as Xxx.xxx may reasonably consider necessary to verify compliance by Agency with the provisions of this section. (b) The Services may require a license for export from the U.S. Government which requires advance disclosure of the ultimate consignee and all parties to the sale, and prohibits diversion, transshipment, or re-exportation out of the United States contrary to U.S. law and regulations by any party. Agency agrees to furnish all documentation required by the U.S. Government in connection with obtaining any required export license, and agrees that unauthorized diversion, transshipment or re-exportation of the Xxx.xxx's Services in violation of the export license or any applicable law shall not be permitted. (c) The parties hereby exclude any application of the United Nations Convention on Contracts in the International Sale of Goods, the 1974 Convention on the Limitation Period in the International Sale of Goods, and the Protocol amending the 1974 Convention, done at Vienna April 11, 1980.

ItsCoastal provides an online service designed to allow users to offer or book adventures and activities, and buy, rent, or sell yachts or real estate property throughout the world, earning Coastal Dollars along the way. PLEASE READ THIS TERM OF USE AGREEMENT (“AGREEMENT”) CAREFULLY. THIS ITSCOASTAL APPLICATION AND WEBSITE AND ANY OTHER WEBSITES OF ITSCOASTAL, ITS AFFILIATES OR AGENTS (COLLECTIVELY, THE “WEBSITE”) AND THE INFORMATION ON IT ARE CONTROLLED BY ITSCOASTAL.
