Kaiser Subsidiaries' Representations and Warranties. In order to induce the Agent to enter into this Amendment and to amend the Subsidiary Security Agreement in the manner provided herein, and to induce the Required Lenders to consent to such action by the Agent, each Kaiser Subsidiary represents and warrants to each Lender and the Agent that, as of the Nineteenth Amendment Effective Date (as defined in the Nineteenth Amendment) after giving effect to the effectiveness of this Amendment, the following statements are true and correct in all material respects:
