Common use of Know-How Clause in Contracts

Know-How. “Know-How” shall mean any information and materials, whether proprietary or not and whether patentable or not, including without limitation ideas, concepts, formulas, methods, procedures, designs, compositions, plans, documents, data, inventions, discoveries, works of authorship, compounds and biological materials, but excluding any such information or materials disclosed in Patent Rights.

Know-How. The term “Know-How” shall mean any information and materialsinformation, whether proprietary or not and whether patentable or not, including without limitation ideas, concepts, formulas, methods, procedures, designs, compositions, plans, documents, data, inventions, discoveries, works of authorship, compounds materials (including biological and biological chemical materials), but excluding any such information trade secrets or materials disclosed in technology (other than the Patent Rights), whether or not proprietary or patentable and whether stored or transmitted in oral, documentary, electronic or other form, including all Regulatory Documentation.

Know-How. “Know-How” shall mean any information and materials, whether proprietary or not and whether patentable or not, including without limitation ideas, concepts, formulas, methods, procedures, designs, compositions, plans, documents, data, inventions, discoveries, works of authorshipimprovements, compounds and biological adaptations, enhancements, data, results, information, processes, methods, techniques, materials, but excluding any such information technology, results or materials disclosed in Patent Rightsother proprietary know-how, whether or not patentable.

Know-How. “The term "Know-How” " shall mean any information and materials, whether proprietary or not and whether patentable or not, including without limitation all ideas, concepts, formulas, methods, procedures, designs, compositions, plans, documents, data, inventionsinventions (whether or not patentable), discoveries, works of authorshipimprovements, compounds unpublished research and biological materialsdevelopment information, but excluding any such information disclosed (whether or materials disclosed not claimed) in Patent Rightsapplications or in issued Patents, trade secrets, technical and other information and data, including, without limitation, apparatus; compositions; methods; processes; techniques; controls; routines; systems (including quality assurance systems); procedures; reports; operating, test and performance data; and process, mechanical, material and product specifications.

Know-How. “The term "Know-How” " shall mean any all inventions (whether or not patentable), trade secrets, technical and other information and materials, whether proprietary or not and whether patentable or not, including without limitation ideas, concepts, formulas, methods, procedures, designs, compositions, plans, documents, data, inventionsincluding, discoverieswithout limitation, works of authorshipapparatus; compositions; processes; controls; systems (including QA systems) and procedures; reports; operating, compounds test and biological materialsperformance data; and process, but excluding any such information or materials disclosed in Patent Rightsmechanical, material and product specifications.
