Knowledge and Sophistication. The Buyer, either alone or together with its representatives, has such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of investing in the offering, and has so evaluated the merits and risks of such investment. The Buyer has not authorized any person or entity to act as its Purchaser Representative (as that term is defined in Regulation D of the General rules and regulations under the Securities Act) in connection with the offering. The Buyer is able to bear the economic risk of an investment in the Securities and, at the present time, is able to afford a complete loss of such investment.
Knowledge and Sophistication. (a) Purchaser has such knowledge and experience in finance, securities, investments and other business matters so as to be capable of evaluating the merits and risks of the investment contemplated hereby, and is able to bear the economic risk of such investment, and, at the present time, is able to afford a complete loss of such investment. (b) Purchaser acknowledges that the Shares have not been registered under the Act and the sale of the Shares is restricted by the Act, the Shareholders Agreement and the terms hereof.
Knowledge and Sophistication. The Purchaser hereby (a) acknowledges that it has received all the information it has requested from the Company and that it considers necessary or appropriate for deciding whether to acquire the Shares; (b) represents that it has had an opportunity to ask questions and receive answers from the Company regarding the terms and conditions of the offering of the Shares and to obtain any additional information necessary to verify the accuracy of the information given to the Purchaser; (c) represents that it has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risk of this investment, and (d) further represents that it has the capacity to protect its own interests in connection with an investment in the Shares and that neither the Company, its directors or officers, or any of their respective affiliates or representatives, nor any other person or entity has made any commitment, representation or warranty to the Purchaser of any type or manner except as set forth herein. The Purchaser acknowledges that there has been no “general solicitation” or “general advertising”, each within the meaning of Regulation D under the U.S. Securities Act of 1933, as amended (the “Securities Act”) in connection with the issuance of the Shares.
Knowledge and Sophistication. The Investor has such knowledge, sophistication and experience in financial and business matters as to be capable of evaluating the merits and risks of an investment in the Company, and the Purchased Shares, and the Investor is able to bear the economic risk of investing in the Purchased Shares. In connection with the purchase of the Purchased Shares, the Investor meets all suitability standards imposed on them by applicable law, including federal and state securities laws and as set forth herein.
Knowledge and Sophistication. Without lessening or obviating the representations and warranties of the Company set forth in Section 2, each Purchaser hereby: (i) acknowledges that it has received all the information it has requested from the Company and that it considers necessary or appropriate for deciding whether to acquire the Securities, (ii) represents that it has had an opportunity to ask questions and receive answers from the Company regarding the terms and conditions of the offering of the Securities and to obtain any additional information necessary to verify the accuracy of the information given the Purchaser, (iii) represents that it has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risk of this investment, and (iv) further represents that it has the capacity to protect its own interests in connection with an investment in the Securities and that neither the Company, its officers, or any of their respective affiliates or representatives, nor any other person or entity has made any commitment, representation or warranty to the Purchaser of any type or manner except as set forth herein. The Purchaser has received no general solicitation or general advertisement in connection with the purchase of the Securities or an investment in the Company.
Knowledge and Sophistication. In connection with the negotiation of, the entering into, and the execution, delivery, and performance of, this Agreement, any Credit Support Document to which it is a party, and each Transaction: (A) it understands that the Transactions entered into hereunder and contemplated hereunder are subject to complex risks which may arise without warning and may at times be volatile, and that losses may occur quickly and in unanticipated magnitude; (B) it is a sophisticated investor able to evaluate the risks of the Transactions entered into hereunder and contemplated hereunder, is prepared to bear and is capable of bearing (financially and otherwise and for an indefinite period) all risks associated with the Transactions entered into hereunder and contemplated hereunder; and (C) this Agreement and each Transaction have been and will be entered into solely in connection with the portfolio management, asset, risk, and liability management, or hedging activities of Party B.
Knowledge and Sophistication. The Buyer (a) has such knowledge, sophistication and experience in business and financial matters that it is capable of evaluating the merits and risks of the transactions referred to in this Agreement, (b) fully understands the nature, scope and duration of the limitations applicable to the Purchased Stock and (c) is able to bear the economic risk of the investment in the Purchased Stock.
