Knowledge; Investment Intent. The Seller has sufficient knowledge, experience and sophistication in business matters, and is capable of evaluating the merits and risks of the transactions and of making an informed investment decision with respect thereto. The Seller further confirms that the Seller and his advisors were given the opportunity to examine the financial and business situation of the Buyer and to ask questions and receive answers from the management of the Buyer.
