Knowledge of Offer. The Investor is familiar with the business and operations of the Company and has been given the opportunity to obtain from the Company all information that such Investor has requested regarding its business plans and prospects.

Knowledge of Offer. The Stockholder is familiar with the business and operations of ev3 LLC and has been given the opportunity to obtain from ev3 LLC all information that such Stockholder has requested regarding its business plans and prospects.
Knowledge of Offer. The Seller is familiar with the business and operations of the Buyer and has been given the opportunity to obtain from the Buyer all information that Seller has requested regarding Buyer’s business plans and prospects. The Seller has had full access to all information relating to the Buyer.
Knowledge of Offer. Each of the Allegiance Parties is familiar with the business and operations of the Company and has been given the opportunity to obtain from the Company all information that it has requested regarding its business plans and prospects.
Knowledge of Offer. Each Stockholder is familiar with the business and operations of the Company and has been given the opportunity to obtain from the Company all information that such Stockholder has requested regarding its business plans and prospects.
Knowledge of Offer. Each Purchaser is aware of and has ------------------ investigated the Company's business, management and financial condition, has had the opportunity to inspect the Company's facilities and has had access to such other information about the Company as each Purchaser has deemed necessary and desirable to reach an informed and knowledgeable decision to acquire the securities to be purchased by it hereunder. The purchase of such securities is not a result of an advertisement of an offering in connection with the sale of such securities.
Knowledge of Offer. Parent is familiar with the business and operations of the Issuer.
