PLANS AND. SPECIFICATIONS shall mean collectively, the plans, specifications and other information prepared or to be prepared by Tenant's Architect and, where necessary, by Landlord's electrical, mechanical and structural engineers, all at Tenant's expense, which shall detail the Work required by Tenant in the Premises and which shall be approved in writing by both Tenant and Landlord prior to the commencement of such Work.

PLANS AND. SPECIFICATIONS" when used with reference to the construction of the Project, shall mean the plans and specifications prepared for the construction of the Project by the Consultant, Contractor and/or subcontractors, certified by an Authorized Company Representative (and approved by the Original Purchaser and/or its designated inspecting architect prior to purchase of the Bonds) and filed with the Trustee as provided in the Agreement, as the same may be revised from time to time during the construction period in accordance with the provisions of the Agreement, and when used with reference to any modification, repair, restoration or replacement of the Project means any plans and specifications prepared by the Consultant, certified by an Authorized Company Representative, and filed with the Trustee (and approved by the Original Purchaser and/or its designated inspecting architect) prior to the making of any modification, repair, restoration or replacement of the Project, as the same may be revised from time to time in accordance with the provisions of the Agreement.

PLANS AND. SPECIFICATIONS: (a) Those certain plans and specifications for the Tenant Improvements as listed in Exhibit B and any modifications to them approved in writing by Landlord and Tenant; or (b) if Exhibit 8 does not include a listing of such plans and specifications, then such plans and specifications shall be prepared by Tenant (the "Preparing Party") and delivered to Landlord (the "Receiving Party") and approved by Landlord and Tenant as set forth in the paragraph captioned "Plans and Specifications".
PLANS AND. SPECIFICATIONS: the final plans and specifications for the Project, as approved by the Regulations and Permits Administration of the Commonwealth or as certified by an architect or engineer duly licensed in the Commonwealth, together with all amendments or supplements thereto so approved or certified.
PLANS AND specifications set forth in Exhibit "F" require Lessor to procure or install such signage. Lessee shall pay all annual and other permit fees therefor, shall pay all costs of maintenance thereof, shall keep same in good condition, order and repair at its sole cost and expense, shall remove same prior to termination of this Lease, and shall repair and restore any damage to the Office Complex caused by such installation and/or removal. Any such sign, and the display of Lessee's name thereon, shall be subject to the terms of any restrictive covenants applicable thereto and all applicable laws, ordinances and regulations. Lessor and Lessee shall approve the comprehensive sign program to be submitted to the City of Scottsdale for approval. Lessor expressly reserves the right to erect additional signs on the exterior of the Office Complex, for the benefit of the other tenants, however, the size, location and appearance of such signage shall be subject to Lessee's approval, which shall not be unreasonably withheld, delayed or conditioned. The signage rights of Lessee and of Lessor shall be proportionate, in area, based upon the relative areas of the Office Complex (i) of the Premises, and (ii) of the remainder of the rentable area of the Office Complex.

PLANS AND. SPECIFICATIONS. The words "Plans and Specifications" mean the plans and specifications for the Project which have been submitted to and initiated by Lender, together with such changes and additions as may be approved by Lender in writing.

Project shall mean conversion of the MIDNIGHT EXPRESS into a dynamically positioned deep water pipe laying vessel in accordance with the Conversion Contracts. Project Costs shall mean the costs and expenses for the development and completion of the Project, as itemized in the Project Expense Schedule. Project Expense Schedule shall mean the detailed line item cost breakdown of the costs to complete the Project including the cost breakdown of the purchase price of the MIDNIGHT EXPRESS, construction costs (hard costs) and all other related indirect development costs (soft costs) submitted to and approved by Lenders, as such schedule may be amended and modified from time to time as approved by the Required Lenders. Property shall mean any interest in any kind of property or asset, whether real, personal or mixed, or tangible or intangible. Properties shall mean the plural of Property.
