Common use of Knowledge of Seller Clause in Contracts

Knowledge of Seller. The term "Knowledge" as used with respect to Seller in this Agreement means the actual knowledge after due inquiry of Seller's management employees who shall be defined as those employees listed on Schedule 17.13.

Knowledge of Seller. For the purposes of Section 3.5 hereof, the term "Knowledge of Seller" shall mean the actual knowledge of Xxxx Xxxx and Xxxx Xxxxxx after due inquiry and investigation of those individuals listed on Schedule 8.12 hereof as to the items set forth in such Section. The term "KnowledgeKnowledge of Seller" as used with respect to Seller elsewhere in this Agreement means the actual knowledge after due inquiry Knowledge of Seller's and MegaTech's directors and officers and those management employees who shall be defined as those employees listed on Schedule 17.138.12 based upon diligent exercise of their respective duties and due and reasonable investigation of the item in question.
