KNOWLEDGE OF TWO HARBORS OR TWO HARBORS LLC. Neither the REIT nor the Operating Partnership shall be liable for any breach of a representation or warranty under this Agreement for any Losses related thereto if any of Two Harbors, Two Harbors LLC or any of their Subsidiaries had knowledge of such inaccuracy or breach prior to the Closing.
