KNOWLEDGE OR ACQUIESCENCE Clause Samples
The Knowledge or Acquiescence clause establishes that a party’s awareness of, or failure to object to, a breach or deviation from the contract does not constitute a waiver of their rights under the agreement. In practice, this means that even if one party knows about a violation or does not immediately enforce a contractual term, they retain the ability to enforce the contract or seek remedies later. This clause is essential for preventing a party from losing their rights simply because they did not act immediately, thereby ensuring that contractual protections remain intact unless explicitly waived.
