Common use of Knowledgeable Investor Clause in Contracts

Knowledgeable Investor. Buyer is an experienced and knowledgeable investor in the oil and gas business. Prior to entering into this Agreement, Buyer was advised by its own legal, tax, and other professional counsel concerning this Agreement, the Contemplated Transactions, the Assets, and their value, and it has relied solely thereon and on the representations and obligations of Seller in this Agreement and the documents to be executed by Seller in connection with this Agreement at Closing. Buyer is acquiring the Assets for its own account and not for distribution.

Knowledgeable Investor. Buyer is an experienced and knowledgeable investor in the oil and gas business. Prior to entering into this Agreement, Buyer was advised by its own legal, tax, and other professional counsel concerning this Agreement, the Contemplated Transactions, the Assets, Assets and their value, and it has relied solely thereon and on the representations and obligations of Seller Sellers in this Agreement and the documents to be executed by Seller Sellers in connection with this Agreement at Closing. Buyer is acquiring the Assets for its own account and not for distribution.

In making the decision to enter into this Agreement and consummate the transactions contemplated hereby, the Assets, and their value, and it Buyer has relied solely thereon and on the express representations and obligations warranties of Seller contained in this Agreement and the documents in instruments to be executed by Seller in connection with this Agreement delivered at Closing. Buyer is acquiring , and on the Assets for basis of its own account and not for distributionindependent due diligence investigation.

Prior to entering into this Agreement, Buyer was advised by and has relied solely on its own expertise and legal, tax, reservoir engineering, and other professional counsel and on the Seller's representations as set forth herein concerning this Agreement, the Contemplated Transactions, the Assets, and their value, and it has relied solely thereon and on the representations and obligations of Seller in this Agreement Property and the documents to be executed by Seller in connection with this Agreement at Closing. Buyer is acquiring the Assets for its own account and not for distributionvalue thereof.

Prior to entering into this Agreementbusiness and is sophisticated in the evaluation, Buyer was advised by its own legalpurchase, taxownership, and other professional counsel concerning this Agreement, operation of oil and gas properties and related facilities. Buyer is not acquiring the Contemplated Transactions, the Assets, and their value, and it has relied solely thereon and on the representations and obligations of Seller in this Agreement and the documents to be executed by Seller Subject Assets in connection with this Agreement at Closing. Buyer is acquiring a distribution or resale thereof in violation of federal or state securities laws and the Assets for its own account rules and not for distributionregulations thereunder.

Prior to entering into business and is capable of independently evaluating the merits and risks of the transaction contemplated by this Agreement, Buyer was advised by its own legal, tax, and other professional counsel concerning this Agreement, the Contemplated Transactions, the Assets, and their value, and it has relied solely thereon and on the representations and obligations of Seller in this Agreement and the documents to be executed by Seller in connection with this Agreement at Closing. Buyer is acquiring the Assets for its own account and not for distribution.

Buyer is acquiring a distribution or resale thereof in violation of federal or state securities laws and the Assets for its own account rules and not for distributionregulations thereunder.
