Labor Condition Applications. Parent and the Surviving Corporation hereby accept all obligations, liabilities and undertakings arising from or under the attestations made in the Labor Condition Applications and similar filings with the DOL on behalf of the Company employees identified on Schedule 5.13, except for any such applications or similar filings that were fraudulent or improperly filed.
