Labor Relations; Litigation. Neither Seller, Guarantor, nor any of their respective Subsidiaries is engaged in any unfair labor practice and, except as set forth on the Disclosure Schedule, there is no litigation, proceeding, governmental investigation (administrative or judicial), or labor dispute, pending or, to the best of Seller’s and Guarantor’s knowledge, threatened against Seller or any Subsidiary, which, if decided adversely, could reasonably be expected to have a Material Adverse Effect.

Neither Borrower nor any other member of the Borrower Affiliated Group is engaged in any unfair labor practice and, except as set forth on Exhibit B attached hereto, there is no litigation, proceeding, governmental investigation (administrative or judicial) or labor dispute, pending or, to the best knowledge of Borrower and each other member of the Borrower Affiliated Group, threatened against Borrower or any other member of the Borrower Group, which, if adversely determined, could have a material adverse effect on the assets, liabilities, properties, income, financial condition, business or prospects of the Borrower Affiliated Group taken as a whole, or on the ability of the Borrower Affiliated Group taken as a whole to perform its obligations under the Security Documents or under any other agreement or document contemplated hereby or thereby, nor is any substantial basis for any such litigation or labor dispute known to exist.
