Lack of Good Faith; Frivolous Claims. To indemnify the Indemnitee for Expenses or any other liabilities of any type whatsoever incurred by the Indemnitee with respect to any Claim initiated by the Indemnitee to enforce or interpret this Agreement, if a court of competent jurisdiction determines that each of the material assertions made by the Indemnitee in such Claim was either frivolous or made in bad faith;
