Lack of Required Information. Parent shall have no obligation to include in the Shelf Registration Statement any shares of Subject Common Stock of a Holder who has failed to timely furnish such information which, in the opinion of counsel to Parent, is reasonably required to be furnished or confirmed in order for the registration statement or prospectus supplement thereto, as applicable, to comply with the Securities Act.
