Common use of Landlord Waivers Clause in Contracts

Landlord Waivers. In the case of (i) each location where the Loan Parties maintain any books or records (electronic or otherwise) and (ii) any personal property Collateral located at any other premises leased by a Loan Party containing personal property Collateral with a value in excess of $250,000 (provided that the aggregate amount of all personal property Collateral excluded from the requirements herein pursuant to this subclause (ii) will not exceed $1,000,000), provide the Administrative Agent with such estoppel letters, consents and waivers from the landlords on such real property to the extent (A) requested by the Administrative Agent and (B) the Loan Parties are able to secure such letters, consents and waivers after using commercially reasonable efforts (such letters, consents and waivers shall be in form and substance satisfactory to the Administrative Agent, it being acknowledged and agreed that any landlord waiver in the form of Exhibit O is satisfactory to the Administrative Agent).

Landlord Waivers. In the case of (i) each headquarters location of the Loan Parties, each other location where any significant administrative or governmental functions are performed and each other location where the Loan Parties maintain any books or records (electronic or otherwise) and (ii) any personal property Collateral located at any other premises leased by a Loan Party containing personal property Collateral with a value in excess of $250,000 (provided that 500,000, the aggregate amount of all personal property Collateral excluded from the requirements herein pursuant to this subclause (ii) Loan Parties will not exceed $1,000,000), provide the Administrative Agent with such estoppel letters, consents and waivers from the landlords on such real property to the extent (A) requested by the Administrative Agent and (B) the Loan Parties are able to secure such letters, consents and waivers after using commercially reasonable efforts (such letters, consents and waivers shall be in form and substance reasonably satisfactory to the Administrative Agent, it being acknowledged and agreed that any landlord waiver in the form of Exhibit O N is satisfactory to the Administrative Agent).

In the case of (ia) each headquarter location of the Credit Parties, each other location where any significant administrative or governmental functions are performed and each other location where the Loan Credit Parties maintain any books or records (electronic or otherwise) and (iib) any personal property Collateral located at any other premises leased by a Loan Credit Party containing personal property Collateral with a value in excess of $250,000 (provided that 10,000,000, the aggregate amount of all personal property Collateral excluded from the requirements herein pursuant Credit Parties will use best efforts to this subclause (ii) will not exceed $1,000,000), provide the Administrative Agent with such estoppel letters, consents and waivers from the landlords on such real property to the extent (Ai) requested by the Administrative Agent and (Bii) the Loan Credit Parties are able to secure such letters, consents and waivers after using commercially reasonable efforts (such letters, consents and waivers shall be in form and substance satisfactory to the Administrative Agent, it being acknowledged and agreed that any landlord waiver in the form of Exhibit O 5.15(d) is satisfactory to the Administrative Agent).
